Terms of Service

1. About Dashbord

Dashbord is a software-as-a-service platform that helps sole traders, tradies and small businesses automate their own billing. The Service lets you create quotes, obtain customer approvals and signatures, issue invoices, generate third-party payment links and send payment reminders.

Dashbord provides software tools only. We are not a party to any contract, quote, invoice or transaction between you and your customers.

2. What Dashbord is not

• Dashbord does not act as your agent, representative, mercantile agent or debt collector, and does not act as or on behalf of any company, business or ABN holder.
• Dashbord does not collect, receive, hold, pursue, recover or enforce payments on your behalf, or on behalf of any other user, whether on or off the platform.
• You are solely responsible for issuing your own invoices, for collecting your own payments, and for any debt recovery or dispute with your customers.
• Dashbord does not provide legal, financial, tax, accounting or debt collection advice or services.

3. Eligibility and your account

You must be at least 18 years old and able to form a legally binding contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly at hello@dashbord.io if you suspect unauthorised use.

4. Your responsibilities

• You are responsible for the accuracy and lawfulness of all content you create using the Service, including quotes, invoices, line items, taxes, GST treatment and your Australian Business Number (ABN) where applicable.
• You are responsible for your own registration, tax and reporting obligations (including GST, BAS and income tax) and for complying with the Australian Consumer Law and any laws applicable to your business.
• Where you send reminders or messages to your customers through the Service, you are responsible for having a lawful basis and any required consent to contact those recipients, including under the Spam Act 2003 (Cth) and the Privacy Act 1988 (Cth).
• You must not use the Service for any unlawful, misleading, deceptive, fraudulent or harassing purpose.

5. Plans, fees and billing

We may offer free and paid plans. Fees for paid plans are described at sign-up or within the Service and are payable in advance unless stated otherwise. Unless required by law (including the Australian Consumer Law), fees already paid are non-refundable. We may change our fees on reasonable notice; continued use after a change takes effect constitutes acceptance of the new fees.

6. Payment processing by third parties

Payment links and card processing are provided by independent third-party payment processors (such as Stripe). When your customer pays, funds are processed by that provider and settled directly to your own connected account in accordance with that provider's terms. Dashbord does not take custody of, hold, or have access to those funds. Your use of a payment processor is subject to that provider's own terms and privacy policy, and any fees they charge are your responsibility.

7. Acceptable use

You agree not to misuse the Service, including by attempting to gain unauthorised access, interfering with its operation, uploading malicious code, scraping data, reselling the Service without our permission, or using it to send unsolicited communications in breach of applicable law.

8. Intellectual property

The Service, including its software, design, branding and content (excluding content you create), is owned by Dashbord or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain ownership of the content you create, and you grant us the limited rights needed to host and operate the Service for you.

9. Consumer guarantees and disclaimers

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you may have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where permitted by law, the Service is provided "as is" and "as available", and we do not guarantee that it will be uninterrupted, error-free, or that it will meet your particular requirements.

To the extent we are able to limit our liability for a failure to comply with a consumer guarantee (other than guarantees that cannot be limited), our liability is limited, at our option, to re-supplying the relevant service or paying the cost of having it re-supplied.

10. Limitation of liability

To the maximum extent permitted by law, Dashbord is not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, goodwill, data, or any amounts owed to you by your customers. To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the liability.

11. Indemnity

You agree to indemnify Dashbord against claims, losses and costs arising from your use of the Service, your content, your dealings with your customers, or your breach of these Terms or applicable law, except to the extent caused by us.

12. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. Provisions that by their nature should survive termination will continue to apply.

13. Changes to the Service or these Terms

We may update the Service and these Terms from time to time. If we make a material change, we will take reasonable steps to notify you. The "Last updated" date above shows when these Terms were last revised. Continued use after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws in force in New South Wales, Australia. You and Dashbord submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts of appeal from them.
